Terms of Service (QTOpro)
1. Introduction and Scope
These Terms of Service ("Terms") govern the use of the QTOpro application (the "Service"), provided by LTplus AG ("we" or "us"), to the user ("you"). By creating an account or using QTOpro, you agree to these Terms. This is a legally binding agreement between you and LTplus AG.
Controller vs Processor: For personal data you provide to use the Service (e.g. account information), LTplus AG is the data controller. For any personal data contained in IFC files or BIM models that you upload to QTOpro, you are the controller and LTplus AG acts as a data processor on your behalf, strictly for providing the Service (see DPA below). These roles are defined in compliance with GDPR and the Swiss Federal Act on Data Protection (FADP).
2. User Accounts and Eligibility
To use QTOpro, you must create an account via our authentication provider (Clerk). You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Accounts are for your internal use and may not be shared or transferred except as allowed by us.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using QTOpro, you represent that you have the legal capacity to enter into this agreement. We reserve the right to suspend or terminate accounts that violate these Terms or for security reasons.
3. Subscriptions, Fees, and Payment
QTOpro is offered on a subscription basis. You may choose a plan and billing cycle (e.g. monthly or annually) through our website. All fees are stated in the indicated currency and are exclusive of any taxes (unless stated otherwise).
"Automatic Renewal:" Paid plans renew automatically at the end of each subscription term unless cancelled. You can cancel at any time via your account dashboard. To avoid being charged for the next term, you must cancel at least one (1) day before the renewal date (unless a different notice period is specified for your plan). If you cancel in time, your subscription will not renew and will end at the current term's expiration. We will send a confirmation of any cancellation or plan change to your email.
Billing and Payment: Payments are processed by our third-party payment processor (Stripe). By subscribing, you authorize us (and Stripe on our behalf) to charge your provided payment method for the recurring subscription fee and any applicable taxes. If any payment is not successfully settled (e.g. card expiration or insufficient funds), we may attempt to charge again or notify you to update your payment details. We reserve the right to suspend or downgrade your access to the Service if timely payment is not made.
Changes to Fees or Plans: We may modify the subscription fees or the features of our plans. Any change will be communicated to you in advance (for example, by email or notice on our site). Fee changes will not apply retroactively; they will take effect at the start of your next subscription term following the notice. If you do not agree to a change, you may cancel the subscription before the new term begins. Continuing to use the Service after the price change takes effect constitutes your agreement to the new fees.
Promotions and Trials: We may offer free trials or promotional discounts. Such offers are subject to these Terms and may have additional conditions. After a trial ends, you will be charged unless you cancel or unless we have informed you otherwise in the offer terms. Discounts or promotional rates apply only for the specified term; subsequent renewals will be at the standard pricing.
"Order Process:" When you subscribe or make a purchase, you will be shown a checkout summary of your order. You must confirm your acceptance (e.g. by clicking a button labeled "Order with obligation to pay"). This confirms your intent to subscribe with payment. You will have an opportunity to review and correct any input errors before finalizing the order. After you place an order, we will send you an immediate order confirmation via email. This process ensures compliance with Swiss and EU e-commerce requirements for clear contracting steps and confirmation.
4. Acceptable Use of the Service
You agree to use QTOpro only for lawful purposes and in accordance with these Terms. Prohibited uses include, without limitation:
- "Unlawful Content:" You must not upload or process any content through QTOpro that is illegal, defamatory, or infringes on any third-party's rights (including intellectual property rights and privacy rights).
- "Malware and Interference:" You must not introduce any viruses, malware, or harmful code into the Service, nor attempt to interfere with or disrupt the integrity or performance of our systems or other users' data.
- "Unauthorized Access:" You may not attempt to gain unauthorized access to any portion of the Service or its related systems or networks.
- "Resale or Misuse:" You may not resell the Service or exploit it for unauthorized commercial purposes. You may not use automated scripts or bots that place excessive load on the Service.
If we suspect any violation of this Acceptable Use section, we reserve the right to investigate and remove or disable the offending content, and/or suspend or terminate the responsible account. Serious violations may be reported to law enforcement if appropriate.
6. IFC File Content and License
"User-Provided Content:" QTOpro allows you to process Building Information Models (e.g. IFC files) and related data ("IFC Content") locally in your browser in order to generate quantity take-off (QTO) results. You retain all ownership rights in the IFC Content that you process. We do not claim ownership over your IFC models or project data, and we never receive or store your original files.
License to Process: You hereby grant LTplus AG a limited license to process your IFC Content solely for the purpose of providing the QTOpro service and any support you request. This includes running computations within your browser to extract quantities and generating output data (reports, estimates, etc.) for your use. We will not use your IFC Content for any other purpose without your consent, and your files are never transmitted to or stored on our servers.
No Sensitive Personal Data: You should ensure that IFC files you process do not contain sensitive personal data unless absolutely necessary. By using QTOpro to process files, you confirm you have a legal basis to process any personal data that might be included in the model (see Data Protection Disclaimer below). We operate under the assumption that the data in your BIM files is primarily technical/project information. If you know that personal data (e.g. names of project members, contact info inside the model properties) is present, please inform us as required by the DPA.
Browser-Based Processing: QTOpro processes IFC files entirely within your web browser on your local device using WebAssembly technology. Files are never uploaded to or stored on our servers - all processing happens locally in your browser and results remain entirely on your device. Only account data and user-created templates (if you choose to save them) are stored in our secure database. Ensure you have your own backup of any files and results; we are not responsible for retaining your original models or processing results as they remain on your device.
"Aggregate Statistics:" You agree that we may generate aggregated and anonymized statistics from the usage of the Service (e.g. average model sizes, common element types, performance metrics). These statistics will not identify you or include any personal data. We use them to improve and benchmark our services. All such aggregated data is owned by LTplus AG.
7. Intellectual Property Rights
All rights, title, and interest in and to the QTOpro Service (including our software, algorithms, website content, and branding) are owned by LTplus AG or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term, solely for your internal business or personal use, in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on our software or content unless expressly permitted by us.
You may provide feedback or suggestions to us about QTOpro. While appreciated, note that we may use feedback without any obligation or compensation to you, and any improvements or modifications to the Service based on feedback are owned by us.
8. Disclaimers
"No Professional Advice:" QTOpro provides quantity take-off results and related data analysis based on your input models. These results are for informational and planning purposes. We are not engineering or architectural consultants, and the Service does not replace professional judgment. We do not guarantee that the outputs will meet any specific building regulations, structural safety standards, or other professional requirements. Always verify critical results with a qualified professional.
"Data Integrity:" We do not warrant that the IFC models or data you upload are free of errors, nor that our analysis will catch all issues. The accuracy of QTO outputs depends on the quality and completeness of the input data. Garbage in, garbage out – if the model data is inaccurate or incomplete, the resulting calculations may be flawed. We are not responsible for errors arising from faulty or incomplete input data provided by users or third parties.
"Service Availability:" We strive to maintain a high uptime (e.g. 99% availability) for QTOpro, but we do not guarantee the Service will be uninterrupted or error-free. Maintenance, updates, or external factors may occasionally make the Service unavailable. We will endeavor to schedule maintenance to minimize disruption and, if feasible, notify users in advance of significant downtime. However, emergency security updates may occur without notice.
"Third-Party Services:" QTOpro relies on third-party services (such as authentication, cloud hosting, and payments). While we choose reputable providers, we make no warranty that third-party services will be free from interruptions or vulnerabilities. Your use of third-party integrated features may be subject to those third parties' terms. We are not responsible for downtime or breaches attributable to those providers, beyond our obligations as a data processor to select and oversee them.
"As Is" Basis: To the fullest extent permitted by law, QTOpro is provided "as is" and "as available," without any warranties of any kind, whether express, implied, or statutory. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or arising from course of dealing or usage of trade. We do not guarantee that the Service will meet your requirements or that any results will be error-free or reliable.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, any required warranty is limited to the shortest period and scope allowed by law.
9. Limitation of Liability
To the extent legally permitted, LTplus AG's total liability arising out of or related to these Terms or the use of QTOpro will not exceed the amount you have paid to us in the last twelve (12) months for the Service in question. If you have paid no fees (for a free plan or trial), our liability is limited to CHF 100 (one hundred Swiss francs).
In no event will LTplus AG or its officers, directors, employees, or agents be liable to you for any:
- "Indirect or Consequential Losses:" This includes any loss of profits, loss of revenue, loss of business opportunity, loss of data, business interruption, or any indirect, special, incidental, punitive, or consequential damages, regardless of theory of liability (contract, tort, or otherwise).
- "Uncontrollable Events:" We are not responsible for failure to fulfill obligations due to events beyond our control, such as natural disasters, strikes, internet outages, or government actions.
These limitations apply even if we have been advised of the possibility of such damages, and even if a remedy fails of its essential purpose.
"Exceptions:" Nothing in these Terms limits or excludes liability that cannot be limited by law, such as liability for gross negligence, willful misconduct, or personal injury caused by our negligence. Also, your statutory rights as a consumer (if you are one) are not limited or excluded by these Terms to the extent not permitted by law.
10. Termination
You may stop using QTOpro and/or cancel your subscription at any time through your account settings. If you cancel a paid subscription, you will retain access until the end of the current paid term, unless we provide an earlier refund at our discretion. After that, your account may be downgraded to a free tier (if available) or deactivated.
We reserve the right to suspend or terminate your access to QTOpro (or delete your account) if you materially breach these Terms, violate applicable laws, or if your continued use poses a security or legal risk to us or other users. We will attempt to notify you of the reason and give you an opportunity to cure the breach (if curable) before termination, except where we are prohibited by law or the circumstances require immediate action.
Upon termination of the Terms or your account for any reason: (a) your right to use the Service ceases, and we may delete or disable your account and all data associated with it (except to the extent we are obliged to retain certain data under law or our Privacy Policy's retention rules); (b) any fees owed by you up to the date of termination remain due and payable; and (c) Sections of these Terms which by their nature should survive (such as disclaimers, limitations of liability, governing law, etc.) will continue to apply.
11. Governing Law and Jurisdiction
These Terms shall be governed exclusively by the laws of Switzerland, without regard to its conflict of laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Zürich, Switzerland, unless applicable law mandates a different jurisdiction for consumer users. Notwithstanding the above, we reserve the right to seek injunctive relief in any competent court to prevent misuse of our intellectual property or unauthorized access to the Service.
